All services are provided based on client requirements, mutual agreements, and project proposals shared via email or official communication channels.

2. Acceptance of Terms

By using our website or availing our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions and our Privacy Policy. These Terms apply to all visitors, clients, and users of our services.

3. Project Engagement & Payment

• A formal quotation or proposal will be provided for each project outlining scope, deliverables, and timelines.
• Upon acceptance, a 50% advance payment (or as mutually agreed) must be made to initiate the project.
• The remaining balance is payable upon project completion, prior to final delivery or deployment.
• All payments are non-refundable once work has commenced unless otherwise agreed in writing.
• Delays in payment may lead to suspension of services or withholding of deliverables.

4. Client Responsibilities

• The client must provide all necessary materials (content, images, brand assets, etc.) and approvals required to complete the project.
• Timely feedback and cooperation are essential to meet delivery timelines.
• Any delay in providing content or approvals may result in project timeline extensions or additional charges.

5. Intellectual Property Rights

• All content, designs, and code developed by Incscale Technologies Private Limited remain the intellectual property of the company until full payment is received.
• Upon full payment, ownership of the final deliverables (e.g., website files, app source code, logo files) is transferred to the client, except for open-source or licensed third-party materials.
• Incscale retains the right to display completed projects in its portfolio or marketing materials unless restricted by a confidentiality agreement.

6. Third-Party Services

Our services may include integration with third-party tools, APIs, or software.
We are not responsible for performance issues, policy changes, or downtime related to third-party platforms such as hosting providers, payment gateways, or app stores.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information, trade secrets, and project-related data shared during the course of the engagement.

8. Limitation of Liability

Incscale Technologies Private Limited will not be liable for any:

• Loss of data, profits, or business due to website downtime or technical issues
• Delays caused by factors beyond our control (e.g., hosting issues, client delays, or third-party failures)
• Indirect, incidental, or consequential damages arising from the use or inability to use our services

Our total liability shall not exceed the total amount paid by the client for the specific project.

9. Revisions and Maintenance

• The number of revisions allowed will be clearly mentioned in the project proposal.
• Additional revisions or post-delivery changes may incur extra charges.
• Maintenance or support after final delivery will be provided only under a separate maintenance agreement or AMC plan.

10. Cancellation and Termination

• Either party may terminate the project with written notice if the other party breaches any material term.
• In case of cancellation by the client, the company will retain all payments made up to that date and deliver all work completed.
• Incscale reserves the right to terminate a project in case of non-payment, non-cooperation, or misuse of services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.

12. Modifications

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be posted on this page with an updated “Last Updated” date. Continued use of our services after such changes constitutes acceptance of the new Terms.
